Area of Protection (AOP) / Radius Restriction

A contractual commitment by a hotel franchisor, and less commonly a manager, not to license or open another hotel of the same brand within a defined geographic radius or trade area of the subject property for a specified period.

AOP terms vary significantly by brand tier and market density — a limited-service brand in a suburban market might offer a multi-mile radius, while a luxury or lifestyle brand in a dense urban core may offer a much smaller protected zone or a submarket-specific carve-out — and are among the most heavily negotiated non-economic terms at signing because they directly constrain the franchisor's own future growth in that market. AOP language typically excludes hotels already open or under a signed agreement at execution, and it usually lapses or narrows upon a renovation-triggered renewal, a brand conversion, or a set number of years after opening, so owners must track AOP expiration dates as a genuine underwriting risk to future cash flow rather than a permanent, closing-date-only protection.
