Controlling Class
The most subordinate class of CMBS certificates still outstanding (not yet reduced to zero by realized losses), whose holders — through the directing certificateholder — hold consultation and consent rights over special servicing decisions.
Controlling class status shifts over the life of a deal as losses erode subordinate tranches from the bottom up; a class that starts as investment-grade mezzanine debt can become the controlling class years later once all classes below it are written down to zero. Historically, controlling class holders (often the original B-piece buyer) wielded significant influence over special servicer appointment and asset resolution strategy, which drew criticism when their economic interests — being closest to a total loss — diverged from those of more senior bondholders who preferred conservative workout approaches. Post-crisis servicing standard reforms introduced the operating advisor to review special servicer performance and controlling class conduct for conflicts of interest, tempering, but not eliminating, the controlling class's outsized practical influence over troubled loan resolution.
