Sales Reporting Covenant
Also known as: Monthly sales report requirement
A lease obligation requiring a retail tenant to periodically report its gross sales to the landlord, typically monthly, in a specified format and within a specified number of days after each reporting period.
Sales reporting covenants are the operational backbone of percentage rent administration and increasingly extend beyond simple dollar totals to require point-of-sale system data exports, transaction counts, or category-level breakdowns that let landlords verify compliance with the gross sales definition and exclusions without waiting for the annual reconciliation statement. Failure to report is typically an independent default distinct from any underlying sales shortfall, and many leases empower the landlord to estimate sales (often at a punitive, above-market imputed figure) and bill percentage rent accordingly whenever a tenant fails to report on time, which gives landlords real enforcement leverage even before exercising a formal sales audit.
